1. General Terms
These Terms of Service (“Terms”) govern all business transactions between Agricola Arizitia Limited (“Company”, “we”, “us”) and the buyer (“Buyer”, “you”). By placing an order or entering into a contract with us, you agree to these Terms.
2. Products & Pricing
All product specifications, grades, and pricing are subject to availability and market conditions. Prices quoted are valid for 7 business days unless otherwise stated. Final pricing is confirmed upon contract execution.
3. Incoterms & Shipping
Unless otherwise agreed, all shipments are made FOB Dar es Salaam or CIF (Any World Safe Port) per Incoterms® 2020. Risk transfers to the Buyer as per the applicable Incoterm. Shipping schedules are estimates and not guaranteed.
4. Payment Terms
Standard payment terms are via irrevocable Letter of Credit (L/C) at sight or Telegraphic Transfer (T/T) with agreed advance payment. Specific payment terms are outlined in each sales contract.
5. Quality & Claims
All products are quality-tested before shipment. Claims must be submitted in writing within 14 days of arrival at the destination port, accompanied by an independent surveyor’s report. We are not liable for quality deterioration caused by improper storage or handling after delivery.
6. Force Majeure
Neither party shall be liable for failure to perform due to events beyond reasonable control, including but not limited to natural disasters, war, government actions, port closures, or pandemics.
7. Governing Law
These Terms are governed by the laws of the United Republic of Tanzania. Any disputes shall be resolved through arbitration in Dar es Salaam under the rules of the Tanzania Arbitration Centre.
